Fractional general counsel for SaaS and data-driven scale-ups.

Commercial contracting, data governance, and compliance infrastructure — built by someone who ran it in-house at $3.5bn and €1bn scale, and negotiated directly with Google, Microsoft, AWS, and Meta.

Built for scale-ups that have outgrown ad hoc contracting

Most SaaS and data companies hit a point where founder-negotiated deals, a patchwork of contract templates, and Slack threads about liability caps stop being sustainable — but a full-time General Counsel is still a year or two away. That gap is where I work.

  • Series B–D SaaS, data, or AI-driven companies
  • Roughly 50–500 employees, international customer base
  • Contracting complexity that has outgrown startup-era templates
  • No in-house GC yet, or one who needs senior backup
I’ve built and led legal teams of 25 — now that judgment works directly for you, without the overhead.

Services

Engagements are scoped to the problem in front of you, not sold as a fixed package. Three ways of working, and two things I bring in as needed. More on fractional General Counsel support.

Advisory Retainer
Ongoing, lighter touch

A standing monthly allocation for contract review, fast-turnaround questions from Sales or Product, and ad hoc commercial advice. No dedicated hours sitting idle — scoped to what actually comes up.

Best for: teams with an internal contracts owner who need senior legal judgment on the harder calls.

Embedded Fractional GC
Ongoing, deeper involvement

I sit closer to the business: leadership syncs, contract negotiation ownership, policy and playbook maintenance, and triage across Sales, Product, and Engineering — effectively your legal function until you're ready to hire one internally.

Best for: companies actively negotiating enterprise deals and building out features, with no legal lead in place.

Sprint Engagements
Fixed-fee, project-based

A single high-stakes deal or deliverable — a major enterprise MSA, a data-licensing or reseller agreement, a contract template and playbook build for your Sales team to self-serve routine deals.

Best for: a specific negotiation or deliverable, agreed scope and fee before work starts.

Privacy & AI governance
Add-on, not standalone

GDPR gap assessments, DPAs, and privacy-by-design review for new product or AI features — drawing on hands-on DPO and AI-governance work, not theory. Usually layered onto a retainer or sprint rather than sold on its own.

Also available on an opportunistic basis: legal workstream support for M&A, carve-outs, or divestitures, if you're heading toward a transaction. Fee structures for any of the above are scoped on a call, not fixed in advance.

About

William Hammond speaking at Corporate Counsel and Compliance Exchange Europe

I have spent nearly 20 years in private practice and as in-house counsel, most recently as General Counsel for a global SaaS and data-analytics business, negotiating with the world's largest technology companies and leading legal through a multi-€bn acquisition.

I now work with SaaS and data-driven scale-ups that need that same level of commercial judgment, without the overhead of a full-time hire.

Based across Nuremberg, London, and Melbourne, qualified as a solicitor of England & Wales and of Victoria, Australia. I advise on English law and cross-border commercial matters; for advice governed specifically by German law, I work alongside a German Rechtsanwalt.
